Supplier Code of Conduct

Nexma's standards do not stop at our own walls. This Supplier Code of Conduct sets out what we expect of the suppliers, vendors, and partners who help us build and deliver our technology — and what they should expect of us.

1. Scope and Applicability

This Supplier Code of Conduct (the "Supplier Code") sets out the minimum standards Nexma expects of its suppliers, vendors, resellers, contractors, and other business partners (collectively, "Suppliers"), and of their own employees, agents, and subcontractors. Suppliers are expected to apply equivalent standards throughout their supply chains.

The Supplier Code supplements, and does not limit, the obligations in any agreement between a Supplier and Nexma. Where the Supplier Code and an agreement differ, the more protective standard applies.

3. Labor and Human Rights

Suppliers must respect internationally recognized human rights and uphold fair labor practices, including:

  • No forced, bonded, or involuntary labor and no human trafficking, consistent with the UK Modern Slavery Act 2015 and comparable laws;
  • No child labor and compliance with applicable minimum-age laws;
  • Fair wages, lawful working hours, and freedom from discrimination and harassment; and
  • Respect for workers' rights to freedom of association and collective bargaining under applicable law.

4. Health and Safety

Suppliers must provide a safe and healthy working environment that meets or exceeds applicable health-and-safety law, including appropriate hazard prevention, training, and emergency preparedness.

5. Environmental Responsibility

Suppliers must comply with applicable environmental laws and operate in a manner that responsibly manages their environmental impact, including obtaining and maintaining required permits and minimizing waste and emissions where practicable.

6. Anti-Corruption

Suppliers must comply with all applicable anti-corruption laws, including the US Foreign Corrupt Practices Act and the UK Bribery Act 2010, and must not offer, give, request, or accept bribes or improper payments in connection with Nexma's business. This requirement flows down to Suppliers' own subcontractors and agents.

7. Data Security and Confidentiality

Suppliers must protect Nexma's confidential information and any personal data they process in connection with Nexma, using appropriate technical and organizational safeguards and complying with applicable data-protection laws. Suppliers must use such information only for authorized purposes and must promptly notify Nexma of any security incident affecting it.

8. Trade Compliance and Conflict Minerals

Suppliers must comply with applicable export control, sanctions, and import laws. Suppliers that provide products containing minerals should source responsibly and support efforts to avoid minerals that finance or benefit armed conflict.

9. Monitoring, Audit, and Remediation

Nexma may assess Supplier compliance with this Supplier Code, including through information requests or audits, subject to reasonable notice and confidentiality. Suppliers are expected to address identified gaps promptly. Failure to meet these standards may result in remediation requirements or termination of the relationship.

10. Reporting Concerns

Suppliers and their workers are encouraged to report suspected violations of this Supplier Code relating to Nexma's business. Reports may be made to the contact below. Nexma prohibits retaliation against anyone who raises a concern in good faith.
