Terms of Service

1. Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of the Nexma website, the Nexma platform, the Jax AI agent, our mobile applications, our APIs, and any other product or service offered by Nexma that links to these Terms (collectively, the "Services").

By creating an account, clicking "I agree," or otherwise accessing the Services, you accept these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

If you do not agree to these Terms, do not use the Services. Enterprise customers may have a separate written master agreement that supersedes these Terms for the scope of that agreement.

2. Changes to These Terms

Nexma may update these Terms from time to time. When we make material changes we will post the revised version with a new "Last updated" date and, where appropriate, notify you by email or in-product banner.

Continued use of the Services after an update constitutes acceptance of the revised Terms. If you do not agree, stop using the Services and cancel your account.

3. Changes to the Platform

We continuously improve the Services. We may add, change, or remove features, retire integrations, or modify usage limits. We will give reasonable notice before any change that materially reduces functionality for paid plans.

Some features are labeled "beta," "preview," or "alpha." Those features are provided as-is for evaluation; we may modify or discontinue them at any time.

4. Account Registration and Security

To use most features of the Services you must create an account through our authentication provider, Clerk. You must provide accurate information and keep it current.

You are responsible for safeguarding your credentials, for all activity that occurs under your account, and for notifying us promptly at security@nexma.ai if you suspect unauthorized access.

You must be at least 18 years old to create an account. The Services are intended for business use.

5. Description of Services

Nexma is an AI-native spatial operating system. The Services typically include:

  • Jax — Nexma's AI agent that reasons about physical space and operates on your project's DataStore through a generic file-system tool set (Read, Write, Edit, Delete, Glob, Grep, Run, Solve).
  • Spatial intelligence surfaces — interactive globe, ontology editor, object explorer, and project workspaces.
  • Optimization and simulation solvers covering linear programming, vehicle routing, constraint programming, simulation, and heuristics.
  • The DataStore — a persistent, typed file system that holds your project's entities, geometries, and operational artifacts.
  • An Ontology designer that defines the typed world model for each project, and a Skill library that targets ontologies with curated Jax capabilities.
  • Multi-user collaboration, role-based access, and project-level branching.
  • Programmatic access via REST and SDKs for ingesting data and triggering automations.

Specific feature availability depends on your subscription plan, the active ontology, and the skills you have bound to a project.

6. Subscription Plans and Fees

Paid plans are billed in advance on a monthly or annual cycle in U.S. dollars (or another currency we offer in your region). Fees, usage limits, and included credits for the Jax agent and solver compute are described on our pricing page or in your order form.

Unless your order form says otherwise, fees are non-refundable, and overage usage above your plan's allowance is billed at the rates published at the time of consumption.

Taxes, duties, and similar government charges are your responsibility, unless we are legally required to collect them from you.

7. Use License

Subject to your compliance with these Terms and payment of applicable fees, Nexma grants you a non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during your subscription term.

7.1 You may:

  • Use the Services to design, simulate, and operate physical infrastructure across any lawful domain.
  • Store your own data, ontologies, and skills in the DataStore.
  • Invite collaborators within your organization to projects you control.
  • Export the outputs Jax generates for you and use them under your own terms.

7.2 You may not:

  • Copy, modify, or create derivative works of the Services or their underlying source code, except as permitted by applicable law.
  • Reverse engineer, decompile, or attempt to discover the source code or underlying model weights.
  • Resell, sublicense, or commercially exploit the Services outside the scope of your subscription.
  • Use the Services to build a competing product or to benchmark for the purpose of building a competing product.
  • Remove or alter any copyright, trademark, or proprietary notices.
  • Use the Services in violation of our Acceptable Use Policy, the law, or any third-party rights.
  • Circumvent rate limits, quotas, billing meters, or access controls.

8. Intellectual Property Rights

8.1 Nexma's Intellectual Property

Nexma and our licensors own all right, title, and interest in and to the Services, including the platform, the Jax orchestration layer, our solver implementations, documentation, branding, and all associated intellectual property rights.

Nothing in these Terms transfers ownership of the Services to you. All rights not expressly granted are reserved.

8.2 Customer Data and Content

You retain all rights in the data, designs, ontologies, skills, and other content you bring into the Services ("Customer Content"). You grant Nexma a limited, non-exclusive license to host, process, and display Customer Content solely to provide and improve the Services for you.

You are responsible for ensuring you have the rights necessary to upload Customer Content and to grant the license above.

8.3 AI Outputs

Subject to your payment of fees and compliance with these Terms, outputs that Jax generates in response to your prompts ("Outputs") are yours to use for any lawful purpose.

Outputs may not be unique. Similar prompts may produce similar Outputs for other customers, and Nexma makes no claim of exclusivity over Outputs you receive. You are responsible for evaluating Outputs before relying on them.

9. Acceptable Use

Your use of the Services is governed by our Acceptable Use Policy, published at /legal/acceptable-use and incorporated into these Terms by reference.

Violating the Acceptable Use Policy is a material breach of these Terms and may result in suspension or termination.

10. AI-Specific Terms

Jax produces probabilistic outputs. It can be useful, fast, and well-informed — and it can also be wrong. The following acknowledgments apply to every interaction with the AI:

  • Outputs are not professional engineering advice, legal advice, financial advice, or medical advice.
  • Designs, optimizations, and simulations generated by Jax must be reviewed by qualified human professionals before they are relied on for construction, regulatory submissions, or safety-critical decisions.
  • Jax may invoke its tool set — Read, Write, Edit, Delete, Glob, Grep, Run, Solve — to alter your DataStore. You are responsible for granting and revoking those permissions through the workspace controls.
  • We do not warrant the accuracy, completeness, or fitness for purpose of any Output.
  • We do not use Customer Content to train foundation models. See our Privacy Policy, Section 6.
  • Third-party model providers (such as Anthropic) participate in serving Jax responses. Their use of your prompts is governed by contracts that prohibit training on customer data and that limit retention to abuse monitoring.
  • You will not present Outputs as the unaided work of a licensed professional, and you will not use Outputs to evade laws or regulations that require human review.

11. User Content and Feedback

If you submit ideas, feedback, suggestions, or proposed improvements about the Services, you grant Nexma a perpetual, irrevocable, royalty-free license to use them without restriction or compensation. We will not identify you as the source without your consent.

You represent that any content you upload does not infringe third-party rights and does not contain malicious code.

12. Privacy and Data Protection

Our Privacy Policy describes how we collect, use, and protect personal information. By using the Services you agree to that policy.

Enterprise customers processing personal data through the Services may request a Data Processing Addendum at legal@nexma.ai.

13. Third-Party Services and Links

The Services integrate with third-party providers — for example, Anthropic for language model inference, Mapbox for cartography, Clerk for authentication, and OpenStreetMap for base geographic data. Your use of those integrations is governed by their own terms.

Links from the Services to external sites are provided for convenience. Nexma does not endorse and is not responsible for the content or practices of those sites.

If a third-party service becomes unavailable, the affected Nexma feature may be limited or disabled until service is restored.

14. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL OUTPUTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXMA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NEXMA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SAFE TO RELY ON FOR ANY SPECIFIC PURPOSE.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions our liability is limited to the maximum extent permitted by law.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEXMA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES.

NEXMA'S AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS.

Outputs from Jax are probabilistic. You acknowledge that decisions based on Outputs without independent professional review are made at your own risk.

The limitations above apply even if a remedy fails of its essential purpose.

16. Indemnification

You will defend, indemnify, and hold harmless Nexma and its affiliates from and against any third-party claim arising out of (a) your use of the Services in violation of these Terms or applicable law, (b) Customer Content you uploaded, or (c) infringement of any third-party right by you or your users.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws principles.

Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the competent courts of Tel Aviv-Yafo, Israel, and you consent to personal jurisdiction there.

Nothing in this section prevents either party from seeking injunctive or equitable relief to protect intellectual property rights or confidential information.

If you are a U.S. consumer, certain mandatory consumer-protection laws of your state may also apply.

18. Termination

You may stop using the Services at any time and may cancel paid subscriptions through your workspace billing settings.

We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have violated these Terms, our Acceptable Use Policy, or applicable law, or if your account creates a security or legal risk.

On termination, your right to use the Services ends. Sections that by their nature should survive (ownership, fees due, disclaimers, liability limits, indemnification, governing law) survive termination.

19. Export Compliance

The Services may be subject to U.S., Israeli, and other export-control and sanctions laws. You may not access or use the Services if you are located in, or are a national or resident of, any country or region subject to a comprehensive U.S. or Israeli embargo, or if you are listed on any restricted-party list.

You will not use the Services to design, produce, or operate weapons of mass destruction, missiles, or systems intended to cause mass civilian harm.

20. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with an enforceable provision that most closely matches the parties' original intent.

21. Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, any applicable order form or master agreement, and any policies referenced here, constitute the entire agreement between you and Nexma regarding the Services.

Failure to enforce a provision is not a waiver. These Terms may be assigned by Nexma in connection with a merger, acquisition, or asset transfer; you may not assign without our prior written consent.
